Terms of service
Version 1.0 · effective 20 October 2026
1. Who we are and what these terms cover
1.1 These Terms of Sale ("Terms") apply to every sale of goods by NEXT TRADE DOOEL Skopje, 1-7 Bitolska St, 1000 Skopje, company no. (ЕМБС) 7822634, tax no. (ЕДБ) 4080025628509 ("NextTrade", "we"), whether the order is placed on nexttrade.mk, by e-mail, phone, Viber or WhatsApp, or on the basis of our written quote.
1.2 The Terms are published on nexttrade.mk and referenced on every quote, pro-forma invoice and invoice we issue. By sending an order or paying a pro-forma invoice the buyer confirms that it has read and accepts them.
1.3 Special conditions agreed in writing (quote, contract) take precedence over these Terms. The buyer's own purchasing terms do not apply unless we have expressly accepted them in writing.
1.4 If the language versions differ, the Macedonian text prevails.
2. Who we sell to
2.1 We sell only to business customers: legal entities, sole traders, craftsmen and agricultural holdings — natural persons entered in the Single Register of Agricultural Holdings of the Ministry of Agriculture, Forestry and Water Economy, or with a holding or facility registered with the Food and Veterinary Agency — who buy the products for the needs of their business.
2.2 We do not sell to consumers, i.e. natural persons buying for personal purposes outside their business. By placing an order the buyer declares that it acts within its business and that the details given (company number, tax number or agricultural-holding ID) are correct.
2.3 We may ask for proof of registration and refuse an order if the details cannot be verified.
3. Business account
3.1 Ordering on the website requires an approved business account. We approve the account after checking the details, as a rule within one working day.
3.2 The buyer is responsible for the accuracy of its details, for keeping its login details safe and for the actions of the persons it authorises to order on its behalf.
3.3 We may suspend or close an account in case of misuse, unpaid obligations or incorrect details.
4. Quotes, orders and conclusion of the contract
4.1 The products and prices shown on the website are an invitation to order, not a binding offer.
4.2 An order sent through the website or by any other means is a request by the buyer. The contract is concluded when we confirm the order in writing (order confirmation or pro-forma invoice), for the products and quantities stated in the confirmation. The automatic order-receipt message is not a confirmation.
4.3 For products marked "Price on request" and for products not in stock we prepare a written quote. The quote is valid for 14 days unless it states otherwise and sets out the price, quantity, delivery time and the delivery and payment conditions.
4.4 We may refuse an order, in particular in case of unpaid obligations, suspected misuse, unavailability of the product or an obvious pricing error.
4.5 The steps of ordering on the website (cart → order request → our confirmation), the possibility to correct the entry before sending, and the available languages are shown on the order page. We store the confirmed order and send it to the buyer by e-mail.
5. Prices and VAT
5.1 Prices are in Macedonian denars, excluding VAT. VAT is calculated at the statutory rate — 18 %, or the reduced rate of 5 % for the products to which it applies (test kits) — and shown separately on the pro-forma invoice and the invoice.
5.2 Prices of imported products are set in USD or EUR and converted to denars at the middle exchange rate of the National Bank of the Republic of North Macedonia on the day the pro-forma invoice or invoice is issued. The denar price shown on the website is indicative and is updated every working day.
5.3 Delivery costs are not included in the price unless the quote or pro-forma invoice says otherwise.
5.4 Price changes apply to future orders and do not affect orders already confirmed. Obvious pricing errors do not bind us; in such a case we will contact you before delivery.
6. Stock items and import-to-order items
6.1 Products marked "In stock in Skopje" are shipped from our warehouse after order confirmation and payment in accordance with clause 7.
6.2 All other products are sourced to order from the manufacturer abroad. They are supplied on the conditions stated in the written quote. For products sourced to order for a specific buyer we may ask for a deposit (капар) in the amount stated in the quote; its conditions are set in the quote or pro-forma invoice. The delivery time is an estimate and runs from the day the conditions in the quote are met. Such an order cannot be cancelled once we have confirmed it and ordered the goods from the manufacturer.
6.3 The delivery time is extended by the duration of any event beyond our control (clause 12).
7. Payment
7.1 Payment is made by bank transfer in denars to the account stated on the pro-forma invoice or invoice, or by online card payment where that option is offered on the website. We do not accept cash on delivery.
7.2 New customers pay in advance against a pro-forma invoice. Customers with an approved business account may be granted payment by invoice within 15 days of the invoice date, unless otherwise agreed in writing. The payment term can never exceed 60 days.
7.3 On late payment we charge the statutory default interest and the statutory collection fee, and we may withhold further deliveries until the debt is settled.
7.4 The goods remain our property until the price is paid in full. Until then the buyer may not pledge or encumber them and must return them at our request if payment is not made.
7.5 The buyer may not set off its claims against ours without our written consent.
8. Delivery and passing of risk
8.1 We deliver within the Republic of North Macedonia by courier or our own transport to the address given in the order. Delivery costs are stated in the quote or pro-forma invoice.
8.2 The risk of accidental damage to or loss of the goods passes to the buyer when the goods are handed over to the buyer, or to the carrier if the buyer arranged the transport itself.
8.3 On receipt the buyer must check the consignment (number of packages, visible damage) and record any visible damage on the delivery note or the carrier's document. A consignment accepted without remark is deemed received in sound external condition.
8.4 Test kits are shipped at ambient temperature. On receipt the buyer must store them immediately according to the instructions (2–8 °C; they must not be frozen). We are not liable for products stored contrary to the instructions.
8.5 Delivery outside North Macedonia only under a separate written agreement.
9. Inspection, claims and returns
9.1 The buyer must inspect the goods immediately on receipt. Visible defects (wrong product, wrong quantity, damage, expired shelf life) must be reported in writing within 2 working days of receipt, quoting the invoice or delivery-note number, the batch (lot) number and photographs.
9.2 Hidden defects must be reported in writing without delay after discovery and no later than 6 months after handover of the goods. A defect exists when the product does not conform to the manufacturer's specification (technical data sheet) or is damaged. Rights arising from a defect reported in time expire one year after the notification.
9.3 We acknowledge a claim within 5 working days and examine it together with the manufacturer's quality department; for that purpose we may ask for the product, a sample, photographs and the batch details. A justified claim is settled by replacement of the product or by a credit note. If neither is possible within 30 days after the examination is completed, we refund the amount paid for the product concerned. We bear the cost of returning a defective product.
9.4 We are not obliged to accept returns of products that are not defective (change of mind, wrongly ordered quantity, non-use). We may accept such a return at our sole discretion and on conditions we state in writing; opened packages are not taken back. Products sourced or contracted for a specific buyer cannot be returned or cancelled.
9.5 Any return takes place only with our prior written consent. Consignments sent without consent are refused and returned at the buyer's cost.
9.6 Information on the shelf life of the goods is given at the time of sale — in the quote, the pro-forma invoice, the delivery note or on the product label. A remaining shelf life is not guaranteed unless expressly agreed in writing.
9.7 We are not liable for defects caused by improper storage, handling, dosing or use contrary to the instructions, nor for test results obtained contrary to the manufacturer's instructions.
10. Use of the products and limitation of liability
10.1 The products are intended exclusively for professional use in food production and quality control. The buyer is responsible for correct dosing, for storage and for the compliance of its own products with the rules on additives and labelling.
10.2 Rapid tests for antibiotics, aflatoxin and milk adulteration are screening tests. Interpreting the result and the decisions based on it are the buyer's responsibility; where required, a result is confirmed by a reference method.
10.3 Technical data, recommendations and advice are given to the best of our knowledge but without any guarantee of the result in the buyer's specific process.
10.4 Our liability for damage on any ground is limited to the invoice value of the goods to which the damage relates. We are not liable for indirect damage, loss of profit, production stoppage or damage to third parties. This limitation does not apply to damage caused intentionally or by gross negligence.
11. Documentation and confidentiality
11.1 Technical data sheets and safety data sheets are provided on request to customers with an approved business account.
11.2 Quotes, prices and special conditions agreed with the buyer are business secrets and may not be disclosed to third parties.
12. Events beyond our control
12.1 We are not liable for non-performance or delay caused by circumstances beyond our reasonable control: delays at the manufacturer or carrier, customs, veterinary and inspection procedures, supply interruptions, measures of public authorities, natural disasters, strikes and the like. Deadlines are extended by the duration of the event.
12.2 If the event lasts longer than 60 days, either party may withdraw in writing from the unperformed part of the order. In that case we refund the payments made for the goods not delivered, including any deposit (капар), without further compensation.
13. Personal data and communication
13.1 We process the personal data of contact persons in accordance with the Privacy Policy published on nexttrade.mk.
13.2 Business communication (confirmations, pro-forma invoices, invoices, notices) is sent by e-mail to the address on the business account. You can unsubscribe from product and offer updates at any time.
14. Governing law and disputes
14.1 These Terms and all contracts concluded under them are governed by the law of the Republic of North Macedonia.
14.2 We will try to settle disputes amicably. Failing that, the parties agree that the competent court in Skopje has territorial jurisdiction; this agreement is deemed made in writing when the buyer has accepted these Terms by e-mail, by a signed quote or by contract.
15. Changes to the Terms
We may change the Terms by publishing a new version on nexttrade.mk. Each order is governed by the version in force on the day of our order confirmation.
